Aside from them both being well-to-do white guys, who occasionally dabble in drugs, I'm not really seeing any substantial similarities between the two characters. They behave like two entirely different people.
Just the parts about him being unaware of his staff made me straight away think thats what Sterling would do and his occasional wit and careless ignorance which plays to the shows humour I thought but maybe I looked into it wrong.
@Rob: Nahh his better than ok, I find him seriously hilarious.
The show is well written enough for me to ignore David Spade, although he ain't that bad.

Rules of Engagement is just... dull. There's nothing new about the show, each plot has been done by other, better shows. It's not awful, just a bland sitcom.
